BY-LAWS Revised November 5th 1995
I.
NAME
Southern California Youth Yacht Racing Association (SCYYRA)
II.
PURPOSE
Encourage and promote yachting education of junior sailors in Southern
California. Sponsor junior regattas. Prepare and maintain a Master Calendar
of junior yachting events in Southern California and annually distribute
copies.
III. MEMBERSHIP
Membership shall be extended, upon approval of a majority of the Board,
to:
MEMBER CLUB: Any Member Yacht Club of the Southern California
Yachting Association (SCYA).
SUPPORTING MEMBER: An individual or firm providing valuable support
to SCYYRA.
AFFILIATE MEMBER: A non-yacht club organization which promotes
junior boating.
IV. ORGANIZATION
DELEGATES: Each Member Club may appoint two Delegates to the
Association, and shall designate one Delegate to whom all communications
from the Association will be directed. Each Supporting and Affiliate
Member shall appoint one Delegate.
BOARD OF DIRECTORS: Selected from thirteen Delegates as: Twelve
shall serve for two year terms, six new Directors per year shall be
elected at the Annual Meeting of the Association by and from the Delegates
to replace six Directors with expired terms. The thirteenth Director
shall be the last prior Chairman.
OFFICERS: The Officers of the Association shall be elected annually
by and from the Members of the Board of Directors. Officers shall consist
of the Chairman, Vice Chairman, Secretary and Treasurer. The latter
two Officers may be the same individual.
TERM OF OFFICE: December 1 to November 30 of the next year.
V. DUTIES OF OFFICERS
BOARD OF DIRECTORS: Shall manage the affairs of the Association.
Shall act as appropriate to effect the purposes of the Association.
CHAIRMAN: Shall preside at all meetings and shall appoint all
committees.
VICE-CHAIRMAN: Shall, in the absence of the Chairman, fulfill
the duties of the Chairman.
SECRETARY. Shall conduct the correspondence of the Association.
Shall distribute the Master Calendar and notice of all significant junior
yachting events to Member Clubs and Supporting Members. Shall keep a
record of the proceedings of all meetings and distribute copies to all
Member Club Delegates and Supporting Members. Shall preserve all documents
connected with the business of the Association. Shall maintain a membership
roster and distribute it to all Member Club Delegates and Supporting
Members.
TREASURER: Shall collect and receive all monies and pay all bills
approved by the Board of Directors. Shall submit written reports of
the receipts and expenditures of the Association as required by the
Board of Directors.
VI. COMMITTEES
NOMINATING COMMITTEE: Shall consist of three persons appointed
by the Chairman at least three months before the annual fall meeting
for the purpose of nominating candidates for the Board of Directors
for the following two-year term. The committee shall submit to the Secretary
their nominees four weeks before the annual fall meeting.
MASTER CALENDAR COMMITTEE: Shall consist of four persons appointed
by the Chairman at least three months before the end of the calendar
year for the purpose of preparing the Master Calendar for the following
year and shall monitor the Calendar throughout the year to assure that
Members receive adequate notice of significant junior yachting events.
Elected annually by and from the Members of the Board of Directors.
STANDING OR SPECIAL COMMITTEES: Shall be appointed by the Board
of Directors from time to time.
VII. MEETINGS
ANNUAL AND GENERAL MEETING OF THE ASSOCIATION: The Annual Fall
Meeting of the Association shall be held in November. General meetings
of the Association shall be held at such time and place, as the Board
of Directors shall designate.
SPECIAL MEETINGS OF THE ASSOCIATION: The Board of Directors may
call special meetings of the Association whenever they deem it necessary
and shall in any event do so upon written request of accredited delegates
of three Member Clubs.
BOARD OF DIRECTOR MEETINGS: Meetings of the Board of Directors
shall be held at such time and place as the Board of Directors designate.
VIll. NOTICES
Written notices of every meeting of the Association shall be sent by
the Secretary to each Member Club Delegate and Supporting Member at
least fifteen days before the meeting. The notice of the Annual Meeting
shall include the selections of the Nominating Committee and proposed
changes of the By-Laws.
IX. QUORUM
Delegates representing six Member Clubs shall constitute a quorum at
meetings of the Association. Six members of the Board of Directors shall
constitute a quorum at any meeting of the Board of Directors.
X. VOTING
Each Member Club in good standing shall be entitled to one vote. Voting
by proxy shall be allowed.
XI. DUES
Annual dues of each class of membership shall be established by the
Board of Director.
XII. VACANCIES
Vacancies in any office shall be filled by appointment by the Board
of Directors until the next Annual Fall Meeting.
XIII. BY-LAW CHANGES
The By-Laws may be amended at any meeting of the Association by vote
of two-thirds (2/3) of the Members represented at such meeting, provided
notice of such amendment is sent to Delegates at least fifteen days
prior to date of such meeting.
